Terms of Service

1. Who we are

These Terms of Service govern your use of the platform at ownerleap.com (the "Platform"), operated by OwnerLeap SIA(registration number 40203707118), a limited liability company registered in Latvia ("we", "us", "OwnerLeap"). By registering or using the Platform, you agree to these Terms.

If you do not agree, please do not use the Platform. Questions can be directed to martins@ownerleap.com.

2. The Platform

OwnerLeap is a marketplace that connects business owners and brokers who wish to sell established businesses ("Sellers") with individuals or entities looking to acquire businesses ("Buyers") across Latvia, Estonia, and Lithuania.

We facilitate introductions and provide listing services. We are not a party to any transaction between a Buyer and a Seller, and we do not provide legal, financial, or investment advice. All decisions to buy or sell are made solely by the parties involved.

3. Registration and eligibility

To use the Platform, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into binding agreements.
  • Provide accurate and complete registration information.
  • Keep your account credentials confidential and notify us immediately of any unauthorised access.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that provide false information or that are used in violation of these Terms.

4. Seller terms

Onboarding fee

Sellers pay a one-time onboarding fee of €1,000 (excl. VAT where applicable) to have their listing prepared and published on the Platform. This fee is non-refundable once listing preparation has commenced.

Success fee

Upon successful completion of a transaction with a Buyer introduced by OwnerLeap, the Seller pays a success fee equal to 1% of the transaction value, with a minimum fee of €2,000 (excl. VAT). The success fee applies to any transaction completed within 24 months of the introduction, regardless of whether the deal is structured differently from what was initially presented.

Accuracy of information

Sellers warrant that all information provided to OwnerLeap for the purpose of preparing the listing and Information Memorandum is accurate, complete, and not misleading. Sellers are solely responsible for the accuracy of the business information they provide.

Buyer approval

Sellers retain full control over which Buyers are granted access to their listing and Information Memorandum. OwnerLeap does not grant Buyer access without Seller approval.

5. Buyer terms

Registration

Buyer registration is free. Registered Buyers may browse anonymised listing teasers and submit access requests to Sellers.

Information Memorandum fee

When a Seller approves a Buyer's access request, the Buyer pays €300 (excl. VAT) per listing to receive the full Information Memorandum. This fee is charged by OwnerLeap and is non-refundable once the Information Memorandum has been delivered.

Confidentiality

By requesting and receiving an Information Memorandum, the Buyer agrees to treat all information therein as strictly confidential. Buyers must not disclose business identity, financial details, or any other information obtained through the Platform to third parties without written consent from the Seller.

Due diligence

OwnerLeap does not verify or guarantee the accuracy of information provided in any listing. Buyers are solely responsible for conducting their own due diligence before entering into any transaction.

6. Broker terms

Listing fee

Brokers may list client mandates on the Platform free of charge. There is no onboarding fee for broker-submitted listings.

Buyer IM fee

The standard €300 Information Memorandum fee applies to buyers, regardless of whether the listing was submitted by a broker or a direct seller.

Success fee

Upon successful close of a transaction with a buyer introduced by OwnerLeap, a success fee of 0.5% of the transaction value applies, with a minimum fee of €1,000 (excl. VAT). The 24-month tail applies as per the standard seller terms.

Authorisation

Brokers warrant that they have the necessary authorisation from their clients to engage OwnerLeap's services and to list the relevant business on the Platform.

7. Prohibited conduct

You agree not to:

  • Provide false, misleading, or fraudulent information on the Platform.
  • Contact or solicit other users outside the Platform to circumvent OwnerLeap's fees.
  • Use the Platform to harass, deceive, or harm other users.
  • Attempt to gain unauthorised access to listings, accounts, or Platform systems.
  • Use automated tools, scrapers, or bots to access the Platform.
  • Reproduce, redistribute, or commercially exploit any content from the Platform without our written consent.

8. No advice or guarantees

Nothing on the Platform constitutes legal, financial, tax, or investment advice. OwnerLeap does not guarantee that any listing will result in a transaction, that any valuation is accurate, or that any business information is complete or up to date. All users engage with the Platform at their own risk.

9. Intellectual property

All content on the Platform — including text, design, graphics, and code — is the property of OwnerLeap SIA or its licensors and is protected by copyright and other intellectual property laws. You may not copy, reproduce, or distribute Platform content without our prior written consent.

10. Limitation of liability

To the maximum extent permitted by applicable law, OwnerLeap SIA shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including but not limited to lost profits, failed transactions, or reliance on inaccurate listing information. Our total liability to any user shall not exceed the fees paid by that user to OwnerLeap in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access to the Platform at any time if you breach these Terms, or at our discretion with reasonable notice. You may close your account at any time by contacting us at martins@ownerleap.com. Termination does not affect any accrued payment obligations, including success fees on introduced transactions.

12. Changes to these Terms

We may update these Terms from time to time. We will notify registered users of material changes by email. Continued use of the Platform after notice constitutes acceptance of the updated Terms. The current version is always available at ownerleap.com/terms.

13. Governing law

These Terms are governed by the laws of the Republic of Latvia. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Latvia.
